These Terms and Conditions are designed to ensure transparency, promote fair business practices, and clearly define the rights, responsibilities, and obligations of both EuroGulf and its customers.These Terms apply to all quotations, purchase orders, sales agreements, service contracts, maintenance agreements, project engagements, deliveries, and commercial transactions entered into with EuroGulf, unless otherwise expressly agreed in writing. They should be read in conjunction with any applicable quotation, proposal, contract, invoice, warranty documentation, or service agreement issued by EuroGulf.By requesting a quotation, placing an order, entering into a commercial agreement, or using any products or services supplied by EuroGulf, the Customer acknowledges that they have read, understood, and agreed to be bound by these Terms and Conditions. Any additional or conflicting terms proposed by the Customer shall not apply unless expressly accepted in writing by an authorized representative of EuroGulf. EuroGulf reserves the right to amend, revise, or update these Terms and Conditions from time to time to reflect changes in applicable laws, industry practices, business operations, or service offerings. Scope
These Terms and Conditions apply to all commercial transactions conducted between EuroGulf and its customers relating to the sale, supply, delivery, installation, commissioning, maintenance, repair, inspection, servicing, and support of CNC machine tools, industrial automation solutions, spare parts, accessories, tooling, software, engineering services, technical consultation, and other related products and services offered by EuroGulf.These Terms govern all quotations, purchase orders, sales agreements, service contracts, maintenance agreements, project engagements, invoices, and any other commercial arrangements entered into with EuroGulf, unless expressly superseded by a separate written agreement executed by both parties.These Terms apply to all customers, including businesses, corporate entities, government organizations, distributors, contractors, and other commercial purchasers engaging with EuroGulf. By accepting a quotation, issuing a purchase order, entering into a contract, or receiving products or services from EuroGulf, the Customer agrees that these Terms and Conditions shall form an integral part of the contractual relationship between the parties.Any terms, conditions, or contractual provisions submitted by the Customer that are inconsistent with or additional to these Terms shall not apply unless expressly accepted in writing by an authorized representative of EuroGulf. The failure of EuroGulf to object to any such terms shall not be deemed as acceptance or waiver of these Terms.Where a separate written agreement has been executed between EuroGulf and the Customer, the provisions of that agreement shall prevail only to the extent of any inconsistency, while all other provisions of these Terms and Conditions shall continue to apply.These Terms and Conditions are intended to establish a clear, transparent, and consistent framework for all commercial dealings with EuroGulf and shall remain applicable throughout the duration of the business relationship unless amended or replaced by mutual written agreement.
Quotations & Pricing
All quotations issued by EuroGulf are valid for the period specified in the quotation unless otherwise stated in writing. Upon expiry of the validity period, EuroGulf reserves the right to revise, withdraw, or reissue the quotation without prior notice.All prices are quoted in the currency specified in the quotation and are exclusive of applicable taxes, duties, customs charges, freight, insurance, installation, commissioning, and any additional costs unless expressly stated otherwise in writing. Pricing is based on the commercial and technical information available at the time the quotation is issued. EuroGulf reserves the right to revise quoted prices prior to order confirmation in the event of changes to manufacturer pricing, exchange rates, raw material costs, shipping charges, import duties, taxes, or other factors beyond its reasonable control. All product specifications, dimensions, capacities, drawings, images, brochures, performance data, and technical information provided by EuroGulf are intended for general reference. EuroGulf reserves the right to modify product specifications or replace components with equivalent alternatives where necessary to support continuous product improvement or manufacturer updates. While EuroGulf takes every reasonable effort to ensure the accuracy of its quotations and documentation, it reserves the right to correct any typographical, technical, pricing, or calculation errors prior to order acceptance. A quotation issued by EuroGulf does not constitute a binding agreement. An order shall become binding only upon written order confirmation issued by EuroGulf, execution of a mutually agreed contract, or commencement of order processing, whichever occurs first.
Orders & Contract Formation
All orders placed with EuroGulf are subject to review and written acceptance. A quotation issued by EuroGulf shall not constitute a binding agreement unless it has been accepted by the Customer and confirmed in writing by EuroGulf, or unless EuroGulf has commenced order processing or performance of the requested Products or Services. Any modifications to the scope of supply, technical specifications, quantities, delivery schedules, or commercial terms requested after order confirmation shall be subject to EuroGulf's review and written approval and may result in revised pricing, lead times, or other contractual adjustments. EuroGulf reserves the right to decline or cancel any order prior to acceptance where technical, commercial, regulatory, or operational requirements cannot reasonably be met. Once an order has been confirmed, cancellation or amendment by the Customer shall only be permitted with the prior written consent of EuroGulf and may be subject to applicable cancellation charges, recovery of costs already incurred, or other reasonable compensation.
Payment Terms
Payment shall be made in accordance with the terms specified in the quotation, sales agreement, or invoice issued by EuroGulf. Unless otherwise agreed in writing, all invoices shall be payable within the stipulated payment period and in the currency specified in the commercial documents. The Customer shall ensure that payments are made without unauthorized deductions, set-offs, or delays.Failure to make payment by the due date may result in the suspension of order processing, delivery, installation, commissioning, warranty support, or other services until all outstanding amounts have been settled. EuroGulf reserves the right to charge applicable interest or administrative fees on overdue payments, where permitted by law, and to recover any reasonable costs incurred in collecting outstanding amounts.Ownership of the supplied Products shall remain with EuroGulf until full payment has been received, notwithstanding the delivery or installation of the Products. Any payment schedule, milestone payments, or advance payment requirements shall be as specified in the accepted quotation or contract between the parties.
Delivery & Lead Times
Delivery schedules provided by EuroGulf are estimates based on the information available at the time of order confirmation and are subject to manufacturer production schedules, material availability, shipping conditions, customs clearance, and other logistical factors. While EuroGulf will make every reasonable effort to deliver Products within the estimated timeframe, delivery dates are not guaranteed unless expressly agreed in writing.The Customer shall ensure that the delivery site is prepared to receive the Products and that all necessary access, permits, and site requirements have been completed prior to delivery. Any delays resulting from incomplete site readiness, changes requested by the Customer, or circumstances beyond the reasonable control of EuroGulf may result in revised delivery schedules and additional costs where applicable.EuroGulf reserves the right to make partial deliveries where commercially reasonable. Such deliveries shall not affect the Customer's obligation to accept and pay for the Products supplied in accordance with the agreed payment terms. Risk associated with the Products shall transfer to the Customer upon delivery to the agreed location or collection by the Customer or its authorized representative, unless otherwise specified in the applicable contract.
Installation & Commissioning
Where installation and commissioning services are included within the agreed scope of supply, EuroGulf shall perform such services using qualified personnel or authorized service partners. The Customer shall ensure that the installation site is fully prepared prior to the scheduled commencement of work, including the availability of suitable foundations, electrical power, compressed air, utilities, lifting equipment where required, and safe access to the site.Any delays arising from incomplete site readiness, restricted access, safety concerns, or the Customer's failure to meet the required site conditions may result in revised project schedules and additional charges. Upon completion of installation and commissioning, the Customer shall inspect the equipment and confirm acceptance in accordance with the agreed project requirements. If the Customer begins operating the equipment without raising any documented concerns within a reasonable period, the installation and commissioning shall be deemed accepted.Any additional installation work, relocation, modifications, or commissioning activities requested beyond the original scope of the agreement shall be treated as additional services and may be subject to separate quotations and charges.
Warranty
EuroGulf warrants that the Products supplied shall be free from defects in material and workmanship under normal operating conditions for the warranty period specified in the applicable quotation, sales agreement, or manufacturer's warranty documentation. Unless otherwise agreed in writing, the warranty shall commence from the date of commissioning or delivery, whichever occurs first.The warranty is limited to the repair or replacement, at EuroGulf's sole discretion, of defective components determined to be covered under the applicable warranty. Warranty claims must be submitted promptly upon discovery of the defect and supported by sufficient information to enable technical evaluation.The warranty shall not apply to defects or failures resulting from normal wear and tear, improper installation by parties other than EuroGulf or its authorized representatives, misuse, negligence, unauthorized repairs or modifications, accidents, improper maintenance, electrical fluctuations, environmental conditions, use of non-approved consumables or spare parts, or operation of the equipment outside the manufacturer's recommended specifications.Any warranty work performed shall not extend or renew the original warranty period unless expressly stated in writing. Components repaired or replaced under warranty shall remain covered only for the remainder of the original warranty period or as otherwise provided by the applicable manufacturer.Except as expressly set forth herein, no other warranties, whether express or implied, including warranties of merchantability or fitness for a particular purpose, shall apply to the Products or Services supplied by EuroGulf.
Service & Maintenance
EuroGulf offers installation support, preventive maintenance, breakdown repair, machine inspections, Annual Maintenance Contracts (AMC), spare parts replacement, technical assistance, and other engineering services as agreed between the parties. The scope, response time, service frequency, and duration of such services shall be governed by the applicable service agreement, quotation, or maintenance contract.The Customer shall provide safe and unrestricted access to the equipment, along with the necessary utilities and operational information required for service activities. Any delays or additional costs arising from restricted site access, unsafe working conditions, or incomplete site preparation shall be the responsibility of the Customer.Routine maintenance shall be carried out in accordance with the manufacturer's recommendations to ensure optimal machine performance and warranty compliance. Failure to follow the prescribed maintenance schedule or the use of unauthorized spare parts, consumables, or service providers may affect machine performance and may void the applicable warranty.Where replacement parts are required, EuroGulf will make reasonable efforts to supply genuine OEM components or approved equivalent parts, subject to manufacturer availability. Service visits requested outside normal business hours or beyond the agreed scope of work may be subject to additional charges.
Intellectual Property
All intellectual property rights, including but not limited to trademarks, trade names, logos, technical drawings, engineering designs, product documentation, manuals, software, machine programs, website content, marketing materials, images, specifications, and other proprietary information provided by EuroGulf shall remain the exclusive property of EuroGulf or its respective licensors and manufacturers.The Customer is granted a limited, non-exclusive, and non-transferable right to use such materials solely for the operation, maintenance, and internal business use of the Products supplied by EuroGulf. The Customer shall not reproduce, distribute, modify, publish, reverse engineer, or disclose any proprietary information, software, or documentation without the prior written consent of EuroGulf, except where permitted by applicable law.Nothing contained in these Terms and Conditions shall be construed as transferring or assigning any intellectual property rights from EuroGulf or its licensors to the Customer. Any unauthorized use of EuroGulf's intellectual property may result in legal action and the enforcement of all available rights and remedies under applicable law.
Confidentiality
During the course of the business relationship, EuroGulf and the Customer may exchange confidential, proprietary, technical, commercial, or financial information. Both parties agree to maintain the confidentiality of such information and to use it solely for the purpose of fulfilling their respective obligations under the applicable quotation, agreement, purchase order, or service contract.Neither party shall disclose confidential information to any third party without the prior written consent of the other party, except where such disclosure is required by applicable law, regulatory authorities, or is necessary for the performance of contractual obligations by authorized employees, affiliates, subcontractors, or professional advisors who are bound by similar confidentiality obligations.The obligations set forth in this section shall not apply to information that is publicly available through no fault of the receiving party, was lawfully obtained from a third party without confidentiality restrictions, or was independently developed without reference to the confidential information disclosed.The confidentiality obligations shall survive the completion, termination, or expiration of the commercial relationship for a reasonable period, unless otherwise agreed in writing or required by applicable law.
Limitation of Liability
To the fullest extent permitted by applicable law, EuroGulf shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising out of or in connection with the supply of Products or Services, including but not limited to loss of profits, loss of production, business interruption, loss of revenue, loss of contracts, or loss of business opportunities.EuroGulf's total liability for any claim arising from or relating to the Products or Services, whether in contract, tort, negligence, or otherwise, shall not exceed the total value of the applicable order, quotation, or service agreement giving rise to the claim.EuroGulf shall not be responsible for delays, defects, or failures resulting from improper installation by third parties, unauthorized modifications, misuse, neglect, failure to follow operating or maintenance instructions, use of non-approved spare parts or consumables, or circumstances beyond its reasonable control.Nothing in these Terms and Conditions shall exclude or limit liability for fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or any liability that cannot be excluded or limited under applicable law.
